Sr. Corporate Development Manager

Location: Reston, VA preferred, open to Bay Area, CA

Overview:

Neustar is looking for an experienced Senior Manager of Corporate Development to help us drive successful M&A strategy, deal execution, and integrations. The position will support Corporate Development and M&A efforts by activities such as driving forward M&A strategy, performing financial modeling, coordinating the overall due diligence process for deals across internal and external constituencies, and coordinating integration planning and execution. The position requires superior communications skills, experience interacting with senior executives, and the demonstrated ability to work effectively with outside advisors and counterparties. The Senior Manager of Corporate Development reports directly to Neustar's Vice President of Corporate Development.

Key Responsibilities:

  • Drive M&A deals from strategic rationale formation to execution, close, and successful integration
  • Partner with Neustar's business leaders to help determine M&A priority areas and to identify and qualify M&A opportunities
  • Create M&A related documents (e.g., market maps, etc.) used to profile and assess sectors of interest, target companies, and/or competitors
  • Lead and organize cross-functional due diligence efforts and summarize key diligence findings
  • Support the development of executive communications and presentations for senior management, investors, and the board of directors
  • Prepare financial and valuation analysis used to support qualification and execution of M&A transactions
  • Help plan and execute acquisition integrations
  • Assist with and help lead all other corporate development initiatives (e.g., market research, divestitures, internal/external reporting, pipeline updating, etc.)

Qualifications:

  • Bachelor's degree in business, finance, or a quantitative field preferred; Masters (MBA) preferred
  • 5+ years of experience in any combination of the following functions: Investment Banking, Management Consulting, Investing, Corporate Development, Business Operations, Strategic Finance, Product/Engineering, or similar environment.
  • Experience in high-growth technology companies, with specialty in Information Services/Enterprise Software domains is a plus
  • Strong corporate development and/or PE/VC investing experience preferred
  • Demonstrated experience leading M&A transactions end-to-end experience integrating acquisitions and helping to form corporate M&A strategy are a plus
  • Proven ability to interact effectively with senior level executives, manage third-party advisors, build relationships at all levels of an organization, and influence decisions without formal authority
  • Strong communication skills and abilities to effectively make formal and informal presentations to all levels of the organization
  • Excellent analytical skills including a high proficiency with valuation modeling, business analysis, and assessing acquisition prospects in a corporate development context
  • Excellent business judgment and strong intellectual curiosity and learning agility
  • Demonstrated project management skills and the ability to manage multiple competing priorities and deals
  • Advanced skill with MS Office Application Suite (includes Excel, PowerPoint, Teams, OneDrive and Outlook) and fluency with M&A tools (e.g. Pitchbook, DealCloud, etc.)
  • Comfortable in a deadline-driven and rapidly evolving environment
  • Self-starter who can work autonomously and who is also effective as a high-impact team player
